Action Process Service has contracted with the largest law firms and collection agencies to
cover Arkansas, Oklahoma and Nationwide exclusively. Action Process Service receives &
assigns  "Huge Volume" work on a daily basis. We are currently assigning 300/500 jobs a
month to some counties. If you are an "active process server", interested in receiving
assignments form Action Process Service simply review the sample Work for Hire Agreement
below. The Work for Hire Agreement explains our procedures as detailed as possible and is
required before any active process server applications can be accepted.

Sample Work for Hire Agreement

This agreement made and entered into by and between Action Process Service (APS) and the Process Server
named within, herein referred to as “Independent Contractor.”

1)       
  DESCRIPTION OF SERVICES: Beginning on the date of signature the Independent Contractor will
provide Process Service.

2)        
PAYMENT OF SERVICES: APS will pay compensation for the services in the agreed amount within (30)
days from the receipt of the original Affidavit of Service for both served and non served assignments.

3)         
REQUIREMENTS: APS does require that both the home and work address provided (within your  service
area) are attempted until service is obtained or until  both addresses are confirmed as bad or until we advise you
to return the job as Due Diligence. APS requires that the Process Server report attempts and service details on a
daily basis either by website, fax, email or phone and return the original Affidavit to us in the postage paid
envelope we will provide within 48 hours from date completed.

ARKANSAS PROCESS SERVERS: This agreement is between you and APS, we do not allow you to "sub out" our
papers to other servers and/or a third party. If the service is assigned to you, it must be attempted, served,
reported and completed by you "personally".
No other process server can have access to the jobs we
assign to you for service, all assignments must be considered confidential.  

4)        RELATIONSHIP OF THE PARTIES: It is understood by the parties that the Process Server is an
independent contractor with respect to Action Process Service,  and is NOT an employee of APS.
APS will not provide any fringe benefits, including health insurance, paid vacation, or any other employee benefits
such as unemployment insurance compensation, workman’s compensation or federal or state tax withholdings.
Any and all tax liability are the responsibility of the Independent Contractor.

5)       
 INJURIES: APS acknowledges the Independent Contractor’s obligation to obtain appropriate insurance
coverage for the benefit of the Independent Contractor and the Independent Contractor’s employees, if any. The
Independent Contractor waives any rights to recovery from APS for any and all injuries that the Independent
Contractor and or his employees, if any, may sustain while performing services under this agreement.

6)        
CONFIDENTIALITY: The Independent Contractor acknowledges and agrees not to have any contact, in
any form, with Action Process Services clients, nor are they to solicit these clients, reveal to any third party who
Action Process Services Clients are or accept any work from these clients for a period of five years after this
contract is terminated. It is understood that APS is the client of the Independent Contractor and all matters should
be referred to APS and APS will take the appropriate legal action for breach of this contract.  

7)        
PROPERTY: It is understood and agreed that any and all documents assigned to the Process Server are
the legal property of APS and must be surrendered immediately upon request.

8)          
ENTIRE AGREEMENT: This agreement contains the entire agreement of the parties, and there are no
other promises or conditions in any other agreement whether oral or written. This contract can be terminated only
by written notice by either party.

9)         
APPLICABLE LAW: This agreement shall be governed by the laws of the United States.
